1. Service Description

ComplyNestAI LLC provides compliance tracking software as a service (SaaS) for government-funded construction projects. Our platform assists with monitoring Davis-Bacon wage requirements, Section 3 hiring mandates, and HUD compliance documentation. The service includes automated verification, document management, and reporting tools.

2. User Responsibilities

By using ComplyNestAI, you agree to:

• Provide accurate and complete information when using the platform
• Maintain the confidentiality of your account credentials
• Ensure the accuracy of all data you input into the system
• Comply with all applicable federal, state, and local laws and regulations
• Use the service only for lawful purposes related to construction compliance tracking
• Notify us immediately of any unauthorized access to your account

3. Data Accuracy and Legal Advice

Important Notice: Users are solely responsible for the accuracy of data they input into ComplyNestAI. While our platform assists with compliance tracking and provides automated verification tools, ComplyNestAI does not provide legal advice.

Our service is designed to support your compliance efforts, but it does not replace professional legal counsel or guarantee compliance with all applicable regulations. We recommend consulting with qualified legal and compliance professionals for specific guidance on your projects.

4. Service Availability

ComplyNestAI is provided "as-is" with reasonable uptime efforts. While we strive to maintain continuous service availability, we do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Emergency repairs or security patches
• Circumstances beyond our reasonable control (force majeure events)
• Third-party service provider outages

We will make reasonable efforts to notify users of planned maintenance in advance.

5. Limitation of Liability

To the maximum extent permitted by law, ComplyNestAI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use or inability to use the service. Our total liability shall not exceed the amount paid by you for the service in the twelve months preceding the claim.

6. Intellectual Property

All content, features, and functionality of ComplyNestAI, including but not limited to software, text, graphics, logos, and algorithms, are owned by ComplyNestAI LLC and protected by copyright, trademark, and other intellectual property laws. You retain ownership of all data you input into the platform.

7. Subscription, Payment, and Refund Policy

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Plans include Starter ($299/month, up to 3 projects), Professional ($799/month, up to 15 projects), and Agency & Enterprise (custom pricing). You authorize us to charge your payment method for all fees due. Failure to pay may result in service suspension or termination.

Every ComplyNestAI subscription includes a 90-day trial period to ensure your satisfaction. If the platform is not the right fit, contact us within the first 90 days for a 50% refund, no questions asked. After this 90-day period, subscriptions continue without a refund option upon cancellation to ensure all clients are committed to compliance excellence.

The first 10 clients who sign with ComplyNestAI are eligible for a Founder's Rate — locking in their current plan price for life, regardless of future price increases. This offer is available on a first-come, first-served basis and must be confirmed in writing at the time of subscription.

8. Termination and Data Export

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity. Upon termination, you will retain access until the end of your current billing period.

Upon cancellation, clients have 60 days to export their data before it is permanently deleted.

9. Changes to Terms

ComplyNestAI retains the right to update these Terms of Service at any time. We will provide notice of material changes via email or through a prominent notice on our platform at least 30 days before the changes take effect. Continued use of the service after changes become effective constitutes acceptance of the updated terms.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the service shall be resolved in the courts of New Jersey.

11. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ComplyNestAI LLC regarding the use of our service and supersede all prior agreements and understandings.
